General Terms and Conditions of Sale

1. General

These General Terms and Conditions of Sale (GTC) govern all sales of services and products by Binao Tech Co., Ltd., a company registered in Vietnam, with its head office located at 207A Nguyen Van Thu, P. Tan Dinh, Ho Chi Minh City, Vietnam (hereinafter "Binao Tech" or the "Service Provider") to its clients (hereinafter the "Client"). Any order placed with Binao Tech implies the Client's unreserved acceptance of these GTC, notwithstanding any contrary stipulations in the Client's documents.

2. Services

Binao Tech specialises in IT consulting, software development, and system integration services. The specific services to be provided are described in a separate service contract or purchase order.

3. Pricing and Deadlines

Binao Tech undertakes to make every effort to adhere to the deadlines and prices communicated to the Client. However, due to unforeseen circumstances, changes in Client requirements, or project complexity, price increases or delays may occur. The Client acknowledges and accepts these increases or delays without the need for written notification to the contrary from them, unless otherwise expressly agreed in writing between the parties before such increases or delays occur.

4. Payment Terms

Invoices issued by Binao Tech are payable according to the terms and deadlines specified in the applicable service contract or purchase order. Unless otherwise stated in the contract, invoices are payable upon receipt.

Any delay in payment will result in the application of late payment penalties calculated at the legal rate in force in Vietnam, as well as reimbursement of collection costs.

5. Confidentiality

Binao Tech and the Client mutually undertake to maintain the confidentiality of all commercial, technical, or financial information exchanged within the framework of the service execution.

6. Intellectual Property

Unless expressly stated otherwise in the service contract, intellectual property rights to deliverables specifically developed for the Client within the framework of the contract will be transferred to the Client upon full payment for the service.

7. Termination

Each party may terminate the contract in the event of a serious breach by the other party of its contractual obligations, which is not remedied within a period of 15 days from the receipt of a formal notice by registered letter with acknowledgement of receipt.

8. Disputes

Any dispute relating to the interpretation or execution of these GTC or any contract concluded with Binao Tech shall be settled in accordance with Vietnamese law and shall be subject to the exclusive jurisdiction of the Binh Thanh District Court, Ho Chi Minh City, Vietnam, where Binao Tech's head office is located.

9. GTC Amendments

Binao Tech reserves the right to amend these GTC at any time. The new GTC will be applicable to orders placed after its update date.

Les présentes Conditions Générales de Vente (CGV) régissent toutes les ventes de services et de produits par Binao Tech Ltd, société enregistrée au Vietnam, dont le siège social est situé au 207A Nguyen Van Thu, P. Tan Dinh, Ho Chi Minh City, Vietnam (ci-après « Binao Tech » ou le « Prestataire ») à ses clients (ci-après le « Client »). Toute commande passée auprès de Binao Tech implique l'acceptation sans réserve par le Client des présentes CGV, nonobstant toute stipulation contraire figurant sur les documents du Client.

2. Prestations

Binao Tech est spécialisée dans le conseil en informatique, le développement de logiciels et les services d'intégration de systèmes. Les services spécifiques à fournir sont décrits dans un contrat de service ou un bon de commande distinct.

3. Prix et Délais

Binao Tech s'engage à mettre tout en œuvre pour respecter les délais et prix communiqués au Client. Cependant, en raison de circonstances imprévues, de modifications des exigences du Client, ou de la complexité du projet, des majorations de prix ou des retards peuvent survenir. Le Client reconnaît et accepte ces majorations ou retards sans qu'il soit nécessaire d'obtenir une mention contraire écrite de sa part, sauf stipulation contraire expresse convenue par écrit entre les parties avant la survenance de ces majorations ou retards.

4. Conditions de Paiement

Les factures émises par Binao Tech sont payables selon les termes et délais spécifiés dans le contrat de service ou le bon de commande applicable. Sauf indication contraire dans le contrat, les factures sont payables dès réception.

Tout retard de paiement entraînera l'application de pénalités de retard calculées au taux légal en vigueur au Vietnam, ainsi que le remboursement des frais de recouvrement.

5. Confidentialité

Binao Tech et le Client s'engagent mutuellement à maintenir la confidentialité de toutes les informations commerciales, techniques ou financières échangées dans le cadre de l'exécution des services.

6. Propriété Intellectuelle

Sauf stipulation contraire expresse dans le contrat de service, les droits de propriété intellectuelle sur les livrables développés spécifiquement pour le Client dans le cadre du contrat seront transférés au Client une fois le paiement intégral de la prestation effectué.

7. Résiliation

Chaque partie pourra résilier le contrat en cas de manquement grave de l'autre partie à ses obligations contractuelles, non réparé dans un délai de 15 jours à compter de la réception d'une mise en demeure par lettre recommandée avec accusé de réception.

8. Litiges

Tout litige relatif à l'interprétation ou à l'exécution des présentes CGV ou de tout contrat conclu avec Binao Tech sera réglé conformément à la loi vietnamienne et sera soumis à la compétence exclusive du tribunal de Ho Chi Minh, Vietnam, où se situe le siège social de Binao Tech.

9. Modifications des CGV

Binao Tech se réserve le droit de modifier les présentes CGV à tout moment. Les nouvelles CGV seront applicables aux commandes passées après la date de leur mise à jour.

Các Điều Kiện Bán Hàng (GTC) này điều chỉnh mọi giao dịch dịch vụ và sản phẩm của Binao Tech Co., Ltd., một công ty được đăng ký tại Việt Nam, có trụ sở chính tại 207A Nguyễn Văn Thủ, P. Tân Định, TP. Hồ Chí Minh, Việt Nam (sau đây gọi là "Binao Tech" hoặc "Nhà Cung Cấp Dịch Vụ") với khách hàng (sau đây gọi là "Khách Hàng"). Mọi đơn đặt hàng với Binao Tech đều đồng nghĩa với việc Khách Hàng chấp nhận không điều kiện các GTC này.

2. Dịch Vụ

Binao Tech chuyên về tư vấn CNTT, phát triển phần mềm và dịch vụ tích hợp hệ thống. Các dịch vụ cụ thể sẽ được mô tả trong hợp đồng dịch vụ hoặc đơn đặt hàng riêng.

3. Giá và Thời Hạn

Binao Tech cam kết nỗ lực để tuân thủ các thời hạn và giá đã thông báo cho Khách Hàng. Tuy nhiên, do các tình huống bất ngờ, thay đổi yêu cầu của Khách Hàng, hoặc độ phức tạp của dự án, có thể xảy ra tăng giá hoặc chậm trễ. Khách Hàng xác nhận và chấp nhận các tăng giá hoặc chậm trễ này.

4. Điều Kiện Thanh Toán

Các hóa đơn do Binao Tech phát hành phải được thanh toán theo các điều khoản và thời hạn được quy định trong hợp đồng dịch vụ hoặc đơn đặt hàng áp dụng. Trừ khi có quy định khác trong hợp đồng, hóa đơn phải được thanh toán ngay khi nhận được.

Mọi chậm trễ thanh toán sẽ dẫn đến việc áp dụng phạt chậm thanh toán theo tỷ lệ pháp lý hiện hành tại Việt Nam, cũng như hoàn trả chi phí thu hồi nợ.

5. Bảo Mật

Binao Tech và Khách Hàng cùng cam kết duy trì bảo mật đối với mọi thông tin thương mại, kỹ thuật hoặc tài chính được trao đổi trong khuôn khổ thực hiện dịch vụ.

6. Sở Hữu Trí Tuệ

Trừ khi có quy định rõ ràng khác trong hợp đồng dịch vụ, quyền sở hữu trí tuệ đối với các sản phẩm giao (deliverables) được phát triển riêng cho Khách Hàng trong khuôn khổ hợp đồng sẽ được chuyển giao cho Khách Hàng sau khi thanh toán đầy đủ cho dịch vụ.

7. Chấm Dứt Hợp Đồng

Mỗi bên có thể chấm dứt hợp đồng trong trường hợp bên kia vi phạm nghiêm trọng các nghĩa vụ hợp đồng và không khắc phục trong thời hạn 15 ngày kể từ khi nhận được thông báo chính thức bằng thư đăng ký có biên nhận.

8. Tranh Chấp

Mọi tranh chấp liên quan đến việc giải thích hoặc thực hiện các GTC này hoặc bất kỳ hợp đồng nào được ký kết với Binao Tech sẽ được giải quyết theo luật pháp Việt Nam và thuộc thẩm quyền độc quyền của Tòa án Quận Bình Thạnh, TP. Hồ Chí Minh, Việt Nam, nơi đặt trụ sở chính của Binao Tech.

9. Thay Đổi GTC

Binao Tech bảo lưu quyền sửa đổi các GTC này bất cứ lúc nào. Các GTC mới sẽ áp dụng cho các đơn đặt hàng được thực hiện sau ngày cập nhật.
